Overview
Ryan Sonnenberg, CPA is a principal in CLA’s National Tax Office with a focus on partnership taxation and complex flow-through structures. Since joining CLA in 2019, he has progressed into a national advisory role, supporting clients and engagement teams on sophisticated tax matters while contributing to the firm’s technical tax guidance.
Ryan advises privately held businesses, investment structures, and their owners on the tax implications of operating, restructuring, and transacting in partnership environments. His work is centered on the technical and structural considerations that drive tax and economic outcomes in partnerships and other flow-through entities, with particular depth in complex ownership and allocation frameworks.
His experience includes structuring and restructuring partnerships, LLCs, and other joint venture arrangements; maintaining and analyzing partnership capital accounts and allocations; and reviewing and consulting on operating agreements. He regularly addresses tax considerations related to ownership changes, distribution waterfalls, rollover transactions, mergers, acquisitions, and is frequently consulted where alignment between economic arrangements and tax results is critical, including in real estate and other investment structures.
Within the National Tax Office, Ryan serves as a technical resource to clients and internal teams, providing guidance on complex partnership issues and their application in practice. He is recognized for bringing clarity to nuanced tax considerations and helping clients navigate decisions with significant financial and structural implications.
Before joining CLA, Ryan spent nine years with Schenck SC in Green Bay, Wisconsin, where he held progressive roles focused on tax planning and advisory services for closely held businesses.
