Farm Tax Network: Legalities and Disclaimers

CliftonLarsonAllen’s written Farm Tax Network® materials are intended to provide educational information about agricultural tax matters and to help tax professionals maintain their professional competence. In providing written materials, CliftonLarsonAllen is not (1) providing information for the benefit of any specific client, (2) rendering accounting, legal, or other professional advice, or (3) creating a professional relationship between CliftonLarsonAllen and your organization. In dealing with specific clients’ accounting matters, subscribers should conduct independent research and analysis to provide advice and services to their clients.

You agree that you will not hold CliftonLarsonAllen (including its partners, principals, directors, officers, employees, and agents) liable for any claim, cost, or damage, whether based on warranty, tort, contract, or other law ("Dispute"), arising from or related to this agreement, the written Farm Tax Network materials, except to the extent allowed by this agreement. The exclusive remedy available to you in the event of a Dispute shall be the right to pursue claims for actual damages that are directly caused by acts or omissions that are breaches of this agreement, but any recovery on any Dispute, including any expenses incurred in pursuing the Dispute, shall not exceed the fees actually paid under this agreement by you to CliftonLarsonAllen. In no event shall CliftonLarsonAllen be liable to you for any indirect, special, incidental, consequential, punitive, or exemplary damages, for loss of profits or loss of good will, or for costs or attorneys’ fees.

Any claim against CliftonLarsonAllen arising from any Dispute must be brought in Minnesota state court.

Notwithstanding any statute of limitations or repose that might otherwise apply to a Dispute between you and CliftonLarsonAllen, any suit or action on a Dispute must be commenced:

  • within twelve (12) months after the delivery of any written Farm Tax Network communication, or
  • within twelve (12) months after the termination of the subscription service either by you or by CliftonLarsonAllen,

whichever date is earliest. This limitation period applies and begins to run even if you have not suffered any damage or loss or have not become aware of the existence or possible existence of a Dispute.

By subscribing to the Farm Tax Network subscription service, you agree to the terms stated above. This agreement will remain in effect until it is terminated by either party on thirty (30) days’ written notice, with or without cause. In the event of termination, the Terms of Engagement shall survive and remain in effect.
